General Terms and Conditions

1. INTRODUCTION 

1.1. These General Terms and Conditions (GTC) regulate the relationship between "AMS Europe s.r.o." with its registered office at Na Folimance 2155/15, Vinohrady, 120 00 Prague 2, ID: 14394243, hereinafter referred to as the "Provider," and the client, hereinafter referred to as the "Client".

1.2. The Provider offers consulting and advisory services, and the Client is interested in these services.

1.3. These GTC are valid from the moment the Client confirms their consent with these GTC.

 

2. DEFINITIONS

2.1. "Services" encompass all consultancy, advisory, analysis, and other related activities provided by the Provider.

2.2. "Project" refers to a specific assignment that the Provider will undertake for the Client within the scope of the services.

 

3. PROVIDER'S OBLIGATIONS

3.1. The Provider undertakes to provide the Client with services in accordance with the scope of the Project.

3.2. Provider will act in accordance with laws and professional standards.

3.3. The Provider will protect the confidentiality of all information received from the Client in connection with the Project.

 

4. CLIENT'S OBLIGATIONS 

4.1. The Client undertakes to provide the Provider with all necessary information and materials for the execution of the Project.

4.2. The Client will cooperate with the Provider and provide them with all the necessary support for the full utilization of the services.

 

5. FEES AND PAYMENTS

5.1. Fees for the services will be determined through an agreement between the Provider and the Client before the start of the Project in a price quote or a mandate contract.

5.2. Payments will be made by the Client in accordance with the agreed terms and payment deadlines.

 

6. DURATION AND TERMINATION 

6.1. These GTC are valid for the period specified in the agreement between the Provider and the Client.

6.2. Both parties have the right to terminate these GTC by written notice in the event of a breach of any contractual obligations by either party.

 

7. LIABILITY

7.1. The Provider does not assume any responsibility for damages that may arise from the use of information obtained through the services, unless the Provider's fault is proven.

7.2. The Client is fully responsible for decisions made based on information provided by the Provider.

 

8. CONFIDENTIALITY

8.1. Both parties undertake to maintain the confidentiality of all information that is the subject of the Project.

8.2. The Provider and its employees are obligated to maintain confidentiality regarding all information obtained from the Client in connection with the Project.

 

9. PROTECTION OF INTELLECTUAL PROPERTY

9.1. All intellectual property created by the Provider within the scope of the Project remains their property.

9.2. The Client acknowledges that they do not have the right to use or distribute the Provider's intellectual property without their written consent.

 

10. LIMITATION OF LIABILITY

10.1. The Provider assumes no liability for any potential losses, damages, expenses, or disruptions to the Client's business opportunities resulting from the services.

10.2. The maximum liability of the Provider for damages incurred by the Client in connection with the provided services is limited to the value paid by the Client for the specific service.

 

11. CHANGES ANS AMENDMENTS

11.1. Any changes or amendments to these GTC must be agreed upon in writing and signed by both parties.

 

12. VALIDITY AND EFFECTIVENESS

12.1. These GTC are valid from the moment the Client confirms their consent with these GTC.

12.2. In the event of any conflict between these GTC and any other agreements between the Provider and the Client, the additional agreements take precedence.
